These Terms of Service govern engagements with Arete Strength Studio Pty Ltd (ABN 60 702 799 424), a provider of professional business and consulting services based in Melbourne VIC. By engaging our services, requesting a quote, or using this website, you agree to these terms.

1. About these terms
These terms form the agreement between you (the client) and Arete Strength Studio Pty Ltd (we, us, our) unless a separate signed engagement agreement states otherwise. If there is any inconsistency between these terms and a signed engagement agreement, the signed engagement agreement prevails to the extent of the inconsistency.
2. Our services
We provide professional business and consulting services, which may include business strategy advisory, operational review and improvement, performance frameworks, planning support and related consulting work. The exact scope of any engagement will be set out in the written proposal or statement of work we provide to you. Work outside that scope may require a variation and additional fees, which we will confirm with you in writing before proceeding.
3. Quotes and fees
- Quotes we issue are valid for 30 days from the date of the quote unless the quote states otherwise.
- All fees are quoted in Australian dollars (AUD) and, unless stated otherwise, exclude GST, which is payable in addition at the applicable rate.
- A quote is an estimate of fees for the described scope only. Changes to scope, timing or your requirements may affect the final fees.
- Acceptance of a quote, payment of a deposit or commencement of work by us constitutes acceptance of these terms.
4. Payment terms
- Invoices are payable within 14 days of the invoice date unless your engagement agreement states otherwise.
- We may require a deposit or progressive payments before or during an engagement, as set out in your proposal.
- If an invoice remains overdue, we may suspend work and withhold deliverables until the account is brought up to date.
- Disputed amounts must be raised with us in writing before the due date; undisputed portions remain payable on the due date.
5. Client responsibilities
To enable us to deliver our services, you agree to provide accurate and complete information, timely access to relevant people and records, and reasonable feedback within agreed timeframes. Delays caused by outstanding information or decisions may affect timelines and, where time-based fees apply, may result in additional charges.
6. Cancellation and rescheduling
If you wish to cancel or reschedule a confirmed engagement or scheduled session, please notify us in writing as early as possible. Where work has already commenced, fees for work performed up to the date of cancellation remain payable. Deposits may be retained to cover time and costs already incurred.
7. Intellectual property
All deliverables prepared for you under an engagement, once paid for in full, are licensed to you for your internal business use. We retain ownership of our pre-existing methodologies, frameworks, templates and know-how. You retain ownership of the materials and information you provide to us.
8. Confidentiality
Each party will keep confidential information of the other party confidential and use it only for the purposes of the engagement, except where disclosure is required by law or the information is publicly available through no breach of these terms. This obligation survives the end of an engagement.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential loss, including loss of profits, revenue or opportunity, arising from the services. Our total liability for any claim arising from an engagement is limited to the fees you paid to us for the services giving rise to the claim. Nothing in this clause limits liability that cannot be limited by law.
10. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any rights and remedies you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable legislation. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For services, we are required to provide them with due care and skill, and they must be reasonably fit for the purpose you made known to us.
11. Privacy
We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By engaging our services, you consent to us collecting, using and disclosing personal information as described in that policy.
12. Termination
Either party may terminate an engagement by giving written notice. You remain liable for fees for work performed up to the date of termination. We may terminate or suspend an engagement immediately if you fail to pay undisputed invoices when due or if continuing the engagement would breach law or our professional obligations.
